By accessing our website, booking a call, or purchasing any services from BlackSky Digital (herein referred to as "BlackSky," "Company," "we," "us," or "our"), you (herein referred to as "Client," "you," or "your") agree to be bound by these Terms of Service.---ServicesBlackSky provides marketing services including, but not limited to, advertising campaign management, funnel development, creative production, and marketing consultation. The specific scope of services, deliverables, payment terms, and guarantees applicable to your engagement will be outlined in your individual Service Agreement.These Terms of Service apply generally to all interactions with BlackSky, including use of our website, booking calls, and purchasing services. In the event of any conflict between these Terms of Service and your individual Service Agreement, the terms of your Service Agreement shall prevail.---DisclaimerClient understands that BlackSky is not an employee, agent, lawyer, doctor, manager, therapist, public relations manager, business manager, registered dietician, financial analyst, psychotherapist, or accountant.Client understands that BlackSky has not promised, shall not be obligated to, and will not:• Perform any business management functions including, but not limited to, accounting, tax, or investment consulting or advice
• Act as a therapist providing psychoanalysis, psychological counselling, or behavioural therapy
• Act as a public relations manager or publicist
• Procure any publicity, interviews, write-ups, features, or media exposure for Client
• Introduce Client to BlackSky's full network of contacts, media partners, or business partnersClient understands that a business relationship does not exist between the parties after the conclusion of any service engagement unless a separate agreement is entered into.---Service Fees and PaymentPayment terms, amounts, schedules, and any applicable guarantees will be specified in your individual Service Agreement.All payments made are final and non-refundable unless otherwise explicitly stated in your Service Agreement. Any future payment obligations and the conditions under which they may be waived will be governed by your Service Agreement.Without prejudice to any other right or remedy, if you fail to pay BlackSky on the due date, BlackSky may suspend all services until payment has been made in full.All sums payable to BlackSky under any contract shall become due immediately upon termination, despite any other provision.---ChargebacksClient understands that all service fees paid are final and non-refundable, and as such, Client hereby waives any rights to chargeback any purchase made under this Agreement or any Service Agreement with Client's credit card processor.Client accepts that any outstanding payments that are in breach of any agreement will incur further costs (including interest and late payment fees) being added to the debt in accordance with applicable law.---Methods of PaymentClient authorises the Company to charge Client's credit card or debit card for any fees due under the applicable Service Agreement.---SMS/Text Message CommunicationsConsent to Receive SMSWhen you book a call through our scheduling platform and voluntarily provide your phone number, you consent to receive SMS/text message notifications from BlackSky.Use of SMSWe use SMS exclusively for transactional purposes, including:• Appointment reminders
• Booking confirmations
• Rescheduling notificationsWe do not use SMS for marketing or promotional purposes.Message FrequencyMessage frequency varies based on your appointment activity. Typically, you will receive 1-3 messages per scheduled appointment.Opt-InBy entering your phone number in the designated field during the booking process (which clearly states that providing your number will result in text notifications), you consent to receive transactional SMS messages from us.Providing your phone number is entirely optional. You are not required to provide a phone number to book a call or use our services.Opt-OutYou may opt out of receiving SMS messages at any time by:• Replying STOP to any text message you receive from us
• Contacting us at info@scalewithblacksky.com with your request
• Not providing your phone number when booking future appointmentsOnce you opt out, you will receive a confirmation message and no further SMS messages will be sent unless you opt back in.No SMS Data SharingWe do not sell, rent, or share your phone number or SMS consent information with third parties for their marketing purposes.Carrier DisclaimerMessage and data rates may apply depending on your mobile carrier and plan. BlackSky is not responsible for any charges from your mobile carrier.---ConfidentialityThe Company respects Client's privacy and insists that Client respects the Company's confidential information. This constitutes a mutual non-disclosure agreement.Any confidential information shared by BlackSky is confidential, proprietary, and belongs solely and exclusively to the Company. Client agrees not to disclose, reveal, or make use of any confidential information learned during the course of any engagement.Confidential Information includes, but is not limited to:• Business strategies, processes, and methodologies
• Pricing structures and financial information
• Client lists and contact information
• Proprietary systems, frameworks, and intellectual property
• Any information disclosed in connection with this Agreement or any Service AgreementBoth parties will keep confidential information in strictest confidence and shall use best efforts to safeguard it and protect it against disclosure, misuse, loss, and theft.Client agrees not to violate the Company's publicity or privacy rights. Furthermore, Client will not reveal any information to a third party obtained in connection with this Agreement or any dealings with BlackSky, including but not limited to names, email addresses, company information, phone numbers, or addresses.If Client violates or displays any likelihood of violating this section, the Company will be entitled to injunctive relief to prohibit any such violations and to protect against the harm of such violations.---Intellectual PropertyBlackSky's content is copyrighted and original. Any materials provided to Client are for Client's individual use only and constitute a single-user licence.Client is not authorised to use any of BlackSky's intellectual property for Client's own business purposes beyond the scope of the services provided.All intellectual property, including BlackSky's copyrighted materials, methodologies, frameworks, and systems, shall remain the sole property of BlackSky. No licence to sell or distribute BlackSky's materials is granted or implied.By engaging with BlackSky, Client agrees:• Not to infringe any copyright, patent, trademark, trade secret, or other intellectual property rights
• That any confidential information shared by BlackSky is confidential and proprietary
• Not to disclose such information to any other person or use it in any manner other than as authorisedIntellectual property created specifically for Client under a Service Agreement shall be governed by the terms of that Service Agreement.---Client ResponsibilityClient accepts and agrees that Client is 100% responsible for their progress and results from the services provided.BlackSky makes no representations, warranties, or guarantees verbally or in writing unless explicitly stated in your Service Agreement. Client understands that due to the nature of marketing services, results experienced by each client may significantly vary.Client acknowledges that as with any business endeavour, there is an inherent risk of loss of capital and there is no guarantee that Client will reach their goals as a result of participation in any services.Any guarantees offered by BlackSky will be explicitly stated in your individual Service Agreement, including any conditions or requirements that must be met.---Independent Contractor StatusNothing in this Agreement is to be construed as creating a partnership, joint venture, alliance, or any other similar relationship. Each party shall be an independent contractor and shall retain control over its personnel and the manner in which such personnel perform.In no event shall BlackSky personnel be deemed employees of Client, or vice versa, by virtue of participation or performance under any agreement.---Force MajeureIn the event that any cause beyond the reasonable control of either party, including without limitation acts of God, war, curtailment or interruption of transportation facilities, threats or acts of terrorism, government advisories, labour strike, civil disturbance, pandemic, or technological failures, makes it inadvisable, illegal, or impossible for either party to perform its obligations, performance shall be extended without liability for the period of delay or inability to perform due to such occurrence.---Severability and WaiverIf any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall nevertheless continue in full force.The failure of either party to exercise any right provided for herein will not be deemed a waiver of that right or any further rights hereunder.---Limitation of LiabilityClient agrees they use BlackSky's services at their own risk.Client releases BlackSky, its officers, employees, directors, subsidiaries, principals, agents, heirs, executors, administrators, successors, assigns, contractors, and related entities from any and all damages that may result from any claims arising from any agreements, all actions, causes of action, contracts, claims, suits, costs, demands, and damages of whatever nature or kind in law or in equity arising from Client's engagement with BlackSky.Client accepts any and all risks, foreseeable or unforeseeable.Client agrees that BlackSky will not be held liable for any damages of any kind resulting or arising from, including but not limited to: direct, indirect, incidental, special, negligent, consequential, or exemplary damages happening from the use or misuse of BlackSky's services.Client also understands that any testimonials or endorsements by customers represented on our websites, content, landing pages, sales pages, or other materials have not been scientifically evaluated and the results experienced by individuals may vary significantly.---Non-DisparagementThe parties agree that they will not engage in any conduct or communications with a third party, public or private, designed to disparage the other.Neither Client nor any of Client's associates, employees, or affiliates will directly or indirectly, in any capacity or manner, make, express, transmit, speak, write, verbalise, or otherwise communicate in any way, any remark, comment, message, information, declaration, communication, or other statement of any kind, whether verbal, in writing, electronically transferred, or otherwise, that might reasonably be construed to be derogatory or critical of, or negative toward, the Company or any of its services, members, owners, directors, officers, affiliates, subsidiaries, employees, agents, or representatives.---AssignmentClient may not assign any agreement with BlackSky without the express written consent of the Company.---ModificationBlackSky may modify these Terms of Service at any time. All modifications shall be posted on the official website with an updated "Last Updated" date. By continuing to use our website or services after modifications are posted, you agree to be bound by the updated terms.---TerminationThe Company is committed to providing all clients with a positive experience.By engaging with BlackSky, Client agrees that the Company may, at its sole discretion, terminate any agreement and limit, suspend, or terminate Client's access to services if:• Client becomes disruptive to the Company or its team
• Client fails to follow service guidelines or instructions
• Client is difficult to work with in a manner that impairs service delivery
• Client violates any terms of this Agreement or their Service AgreementTermination by the Company due to Client conduct does not relieve Client of any payment obligations as specified in their Service Agreement.Client's right to terminate and any associated terms will be governed by the individual Service Agreement.---IndemnificationClient shall defend, indemnify, and hold harmless the Company, its officers, employers, employees, contractors, directors, related entities, trustees, affiliates, and successors from and against any and all liabilities and expenses whatsoever—including without limitation, claims, damages, judgments, awards, settlements, investigations, costs, attorneys' fees, and disbursements—which any of them may incur or become obligated to pay arising out of or resulting from Client's use of services or breach of any agreement.Client shall defend the Company in any legal actions, regulatory actions, or the like arising from or related to this Agreement or any Service Agreement.Client recognises and agrees that all of the Company's shareholders, trustees, affiliates, and successors shall not be held personally responsible or liable for any actions or representations of the Company.---Governing LawThis Agreement shall be governed and construed in accordance with the laws of the United Kingdom, and all claims relating to or arising out of this Agreement, or the breach thereof, whether sounding in contract, tort, or otherwise, shall likewise be governed by the laws of the United Kingdom.---Contact UsIf you have any questions about these Terms of Service, please contact us:BlackSky Digital
